END USER LICENSE AGREEMENT (EULA)

Effective Date: 09-June-2026

1. LICENSE GRANT

LilBay grants you a limited, non-exclusive, non-transferable, revocable license to access and use the application (“App”) for personal or business use in accordance with this EULA and all related Platform policies.

You may not:

  • Copy, modify, distribute, or reverse engineer the App
  • Use the App for illegal, fraudulent, or unauthorized purposes
  • Resell, sublicense, or exploit the App without written permission

2. USER ACCOUNTS

2.1 Registration

You may be required to create an account to access Platform features. You agree to provide accurate, complete, and updated information.

2.2 Account Security

You are responsible for:

  • Maintaining confidentiality of login credentials
  • All activity under your account
  • Immediately notifying the Platform of unauthorized access

3. PLATFORM SERVICES

The Platform provides a multi-service marketplace ecosystem including:

  • Ecommerce Marketplace
  • Dropshipping Marketplace
  • Classified Ads Marketplace
  • Payment processing and escrow systems
  • Tax calculation and compliance tools
  • Order and marketplace management systems

The Platform acts strictly as a technology provider and marketplace facilitator, and does not act as a seller, reseller, or manufacturer unless explicitly stated.

4. SUBSCRIPTIONS & FEES

The Platform may offer:

  • Subscription plans
  • Paid listings and promotional upgrades
  • Marketplace service fees

Pricing, features, and availability may change at any time.

Billing is processed via third-party providers or app stores and may auto-renew unless cancelled before renewal.

Refunds for subscriptions are subject to the relevant payment provider policies.

5. MARKETPLACE MODELS

5.1 Ecommerce Marketplace

  • Verified business sellers list and sell products
  • Platform may charge a transaction fee per completed order
  • Payments are held in escrow until order completion

5.2 Classified Ads Marketplace

  • Users post listings based on selected plans
  • Visibility may depend on paid promotion or upgrade features
  • Transactions occur directly between users outside the Platform

5.3 Dropshipping Marketplace

  • Users operate stores using Platform tools and supplier integrations
  • Platform provides automation, listing, and fulfillment coordination tools
  • Earnings, sales, or performance are not guaranteed

6. USER RESPONSIBILITIES

You agree to:

  • Comply with all applicable laws and regulations
  • Provide accurate listings and information
  • Avoid fraud, abuse, or misleading activity
  • Not list illegal, counterfeit, or prohibited items
  • Comply with tax and legal obligations in your jurisdiction

7. PROHIBITED ACTIVITIES

Users must not:

  • Sell illegal, restricted, or counterfeit products
  • Engage in fraud, scams, or chargeback abuse
  • Manipulate platform systems or bypass fees
  • Upload false, misleading, or deceptive content
  • Attempt unauthorized access or system interference

8. INTELLECTUAL PROPERTY

All content, branding, software, systems, and infrastructure are the exclusive property of LilBay.

Unauthorized use, copying, or reproduction is strictly prohibited.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Platform is not responsible for:

  • User-generated content or listings
  • Performance of sellers, buyers, or suppliers
  • Delivery delays or logistics failures
  • Financial losses or business outcomes
  • Disputes between users

The Platform provides services on an “as is” and “as available” basis without guarantees of uninterrupted operation.

10. TERMINATION

The Platform may suspend or terminate accounts at any time if:

  • These Terms or related policies are violated
  • Fraud, abuse, or illegal activity is detected
  • Legal or compliance risks arise

11. MODIFICATIONS

The Platform may update this EULA at any time. Continued use of the App constitutes acceptance of updated terms.

12. GOVERNING LAW

This EULA is governed by the applicable laws based on the operating entity:

  • LilBay
  • Sweden law
  • European Union regulations
